1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Sucomp TechSolutions (“Company,” “we,” “us,” or “our”), located at 5-1-A Vimal Udyog Bhavan, Manorama Nagarkar Marg, Mahim, Mumbai – 400016, India, regarding your use of the SaralFlow platform available at https://saralflow.com (the “Service”).

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to theseTerms, you may not access or use the Service.

2. Description of Service

SaralFlow is a B2B software platform that provides:

2.1 Timesheet Application

  • Streamlined time tracking for teams and projects
  • Daily and weekly time entry views
  • Project, client, and task-based tracking
  • Approval workflows and customizable cutoff rules
  • Export-ready reports for payroll and billing

2.2 LeaveHub Application

  • Smart leave management system
  • Customizable leave types and holiday policies
  • Configurable work calendars
  • Leave approval workflows with balance validations
  • Self-service cancellation requests and document uploads

3. User Accounts and Registration

3.1 Account Creation

To use the Service, you must create an account by providing:

  • Valid email address
  • First name and last name
  • Organization name

3.2 Account Ownership

The first user to register from an organization becomes the “Organization Owner” with administrative privileges to add team members and manage the organization’s account.

3.3 User Roles

The Service includes the following user roles:

  • Organization Owner: Full administrative access
  • Member: Standard user access
  • Billing Administrator: Billing and subscription management
  • User Administrator: User management capabilities

3.4 Age Requirements

You must be at least 18 years old to use the Service. The Service is intended for business use only.

3.5 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4. Subscription Plans and Billing

4.1 Free Plan

Organizations with 10 or fewer user accounts may use the Service at no cost.

4.2 Paid Plans

Organizations requiring more than 10 user accounts must subscribe to a paid plan. Currently,payment processing is handled offline through direct inquiry.

4.3 Future Payment Processing

Online payment processing may be introduced in the future, and these Terms will be updated accordingly

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service only for lawful business purposes in accordance with these Terms.

5.2 Prohibited Uses

You agree not to:

  • Use the Service for any illegal activities or in violation of applicable laws
  • Attempt to breach, circumvent, or test the security of our systems
  • Access or attempt to access other customers’ data without authorization
  • Share login credentials with unauthorized third parties
  • Reverse engineer, decompile, or attempt to extract our source code
  • Exceed usage limits by more than 200% for 7+ consecutive days after warning
  • Store or transmit malicious code, viruses, or harmful content
  • Violate intellectual property rights of the Company or third parties
  • Resell or redistribute the platform without written authorization
  • Use the platform to develop competing products or services
  • Provide false information during registration or billing
  • Send spam or unsolicited communications through the Service

6. Data Ownership and Privacy

6.1 Customer Data Ownership

All data you input into the Service, including employee information, timesheet entries, leave requests,and organizational data, remains your property. The Company does not claim ownership of your data.

6.2 Data Access

  • Organization Owners can access all data within their organization
  • Other users can access data according to their assigned permissions
  • The Company will not access your data except as necessary to provide the Service or as required by law

6.3 Sensitive Information

The Service may collect sensitive employee information including personal details, salary information,and health-related leave reasons. This information is stored securely and handled according to our Privacy Policy.

6.4 Data Location

Your data is stored in one of three data centers (India, Germany, or USA) based on your organization’s location as detailed in our Privacy Policy.

7. Intellectual Property Rights

7.1 Company IP

The Service, including all software, features, functionality, designs, and content, is owned by Sucomp TechSolutions and is protected by copyright, trademark, and other intellectual property laws.

7.2 Customer Data

You retain all rights to the data you submit to the Service. By using the Service, you grant us a limited,non-exclusive license to use your data solely to provide the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation.

8. Service Availability and Support

8.1 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond ourcontrol.

8.2 Support

Customer support is provided during business hours through the contact methods specified on ourwebsite.

9. Termination

9.1 Termination by You

You may terminate your account at any time by:

  • Providing written notice through your account settings or email
  • Following the termination procedures outlined in Section 9.3

9.2 Termination by Us

We may terminate your account immediately without notice for:

  • Violation of these Terms
  • Security breaches or attempted unauthorized access
  • Non-payment of fees (for paid plans)
  • Repeated violations after warnings
  • Use of the Service for illegal activities

We may terminate your account with 30 days’ notice for:

  • Business reasons, including discontinuation of service
  • Policy violations after opportunity to cure
  • Regional compliance requirements

9.3 Effects of Termination

Upon termination:

  • Your access to the Service will be immediately suspended
  • You will have 30 days to export your data
  • After 30 days, your data will be permanently deleted from our systems
  • You remain liable for any fees incurred before termination

9.4 Data Export Rights

You have the right to export your data in standard formats (CSV, JSON, PDF) during the 30-day grace period following termination.

10. Disclaimers and Limitation of Liability

10.1 Service Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND,EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY,FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOTLIMITED TO LOSS OF DATA, REVENUE, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTPAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your data or content submitted to the Service

12. Governing Law and Disputes

12.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts of Mumbai, Maharashtra, India.

12.3 Dispute Resolution Process

Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiations for 30 days.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.

13.2 Modifications

We may modify these Terms at any time by posting updated Terms on our website. Continued use of the Service constitutes acceptance of modified Terms.

13.3 Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign ourrights without restriction.

13.5 Survival

The following sections survive termination: Data Ownership, Intellectual Property, Limitation of Liability, Indemnification, and Governing Law.
